1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prozilli Entertainment ("Prozilli," "Company," "we," "us," or "our"), governing your access to and use of the prozilli.com website, prozilligaming.com website, ZO Syndicate RP game server, Lisa bot services, and all related services, applications, and content (collectively, the "Services").

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Services following any modifications indicates your acceptance of the modified Terms.

2. Eligibility and Account Requirements

2.1 Age Requirements

You must be at least 13 years of age to use our Services. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use our Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Certain Services, including but not limited to ZO Syndicate RP which contains mature roleplay themes, monetary transactions, and age-restricted content, require users to be at least 18 years of age.

2.2 Account Creation

Access to certain features of our Services requires authentication through Discord OAuth or other third-party authentication providers. By authenticating through these services, you authorize us to access certain information from your account as described in our Privacy Policy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

2.3 Account Accuracy

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

3. Description of Services

3.1 Prozilli.com

The corporate website providing information about Prozilli Entertainment, our properties, press materials, and contact information.

3.2 ProzilliGaming.com

The content and community hub providing access to live streaming content, video-on-demand, merchandise sales, donation services, community features, and information about our gaming properties.

3.3 ZO Syndicate RP

A FiveM-based roleplay server offering a narrative-driven gaming experience. Access to ZO Syndicate RP is subject to additional rules, application requirements, and community guidelines as posted on our Discord server and related platforms.

3.4 Lisa Bot

An AI-powered Discord bot providing community management, moderation, streaming notifications, and interactive features across our Discord servers and integrated platforms.

4. User Conduct and Prohibited Activities

4.1 General Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm the Company or users of the Services

4.2 Prohibited Activities

You are expressly prohibited from:

• Attempting to bypass, disable, or interfere with any security features of our Services
• Using any automated system, including but not limited to "robots," "spiders," or "offline readers," to access our Services
• Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempting to gain unauthorized access to any portion of our Services, other accounts, computer systems, or networks
• Collecting or harvesting any personally identifiable information from our Services
• Using our Services for any commercial purpose without our express written consent
• Engaging in any activity that interferes with or disrupts our Services or the servers and networks connected to our Services
• Reverse engineering, decompiling, or disassembling any aspect of our Services
• Creating derivative works based on our Services without authorization
• Selling, transferring, or attempting to sell or transfer your account or any account credentials

4.3 Community Standards

When interacting with other users through our Services, you agree not to:

• Harass, abuse, threaten, or intimidate other users
• Post or transmit content that is defamatory, obscene, pornographic, or offensive
• Engage in discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic
• Share personal information of other users without their consent (doxxing)
• Engage in or promote illegal activities
• Spread misinformation or engage in deceptive practices

5. Intellectual Property Rights

5.1 Company Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement, are owned by Prozilli Entertainment, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Trademarks

"Prozilli," "Prozilli Entertainment," "Prozilli Gaming," "ZO Syndicate RP," "Lisa," and all related names, logos, product and service names, designs, and slogans are trademarks of Prozilli Entertainment or its affiliates. You must not use such marks without the prior written permission of the Company.

5.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your personal, non-commercial use. This license does not include any right to: (a) modify or make derivative works based upon our Services; (b) use any data mining, robots, or similar data gathering methods; (c) download any portion of our Services, except as expressly permitted; or (d) use our Services other than for their intended purposes.

5.4 Third-Party Content

Our Services may display content from third parties, including but not limited to streaming platforms (Twitch, YouTube, Kick, TikTok, Trovo, Facebook), payment processors, and merchandise fulfillment partners. Such content is the property of its respective owners and is subject to their terms and conditions.

6. User-Generated Content

6.1 Content You Submit

Our Services may allow you to submit, post, display, or transmit content, including but not limited to text, images, videos, messages, roleplay content, and other materials ("User Content"). You retain ownership of your User Content, but by submitting User Content to our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with our Services and our business operations.

6.2 Content Standards

You are solely responsible for your User Content and the consequences of submitting and publishing it. You represent and warrant that: (a) you own or have the necessary rights to use and authorize us to use your User Content; (b) your User Content does not infringe any third party's intellectual property or other rights; and (c) your User Content complies with these Terms and all applicable laws.

6.3 Content Removal

We reserve the right, but not the obligation, to review, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to violations of these Terms, without notice. We are not responsible for any User Content posted by users.

7. Purchases, Donations, and Payments

7.1 Payment Processing

All monetary transactions through our Services, including merchandise purchases and donations, are processed by third-party payment processors, including Stripe. By making a purchase or donation, you agree to the terms and conditions of the applicable payment processor. We do not store complete payment card information on our servers.

7.2 Merchandise

Merchandise sold through our Services is fulfilled by Printful or other third-party print-on-demand and fulfillment services. Product availability, shipping times, and fulfillment are subject to the policies of these fulfillment partners. By purchasing merchandise, you agree to the fulfillment partner's terms of service.

7.3 Donations

Donations made through our Services are voluntary contributions to support our content creation and community operations. Donations are not payments for goods or services and do not entitle donors to any specific benefits unless expressly stated. Donation perks, if any, are provided at our discretion and may be modified or discontinued at any time.

7.4 Pricing and Availability

All prices are displayed in USD unless otherwise indicated. We reserve the right to modify prices, discontinue products, or limit quantities at any time without notice. We are not responsible for typographical errors or pricing mistakes and reserve the right to cancel orders resulting from such errors.

7.5 Refund Policy

Refund eligibility for merchandise is subject to our Refund Policy and the policies of our fulfillment partners. Donations are generally non-refundable except as required by law. Chargebacks initiated without first contacting us may result in account suspension.

8. Third-Party Services and Links

8.1 Third-Party Platforms

Our Services integrate with and link to third-party platforms and services, including but not limited to Discord, Twitch, YouTube, Kick, TikTok, Trovo, Facebook, Instagram, Twitter/X, Stripe, Printful, and FiveM. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

8.2 FiveM and Rockstar Games

ZO Syndicate RP operates on the FiveM platform, which is a modification framework for Grand Theft Auto V. FiveM and Grand Theft Auto V are products of their respective owners (Cfx.re and Rockstar Games). Prozilli Entertainment is not affiliated with, endorsed by, or sponsored by Cfx.re, Rockstar Games, or Take-Two Interactive. Your use of ZO Syndicate RP is also subject to the terms of service of FiveM and any applicable Rockstar Games policies.

8.3 External Links

Our Services may contain links to external websites or resources. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or resources.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PROZILLI ENTERTAINMENT NOR ANY PERSON ASSOCIATED WITH PROZILLI ENTERTAINMENT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

WITHOUT LIMITING THE FOREGOING, NEITHER PROZILLI ENTERTAINMENT NOR ANYONE ASSOCIATED WITH PROZILLI ENTERTAINMENT REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROZILLI ENTERTAINMENT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

9.3 Indemnification

You agree to defend, indemnify, and hold harmless Prozilli Entertainment, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

10.1 Termination by You

You may terminate your use of our Services at any time by discontinuing access to the Services and, where applicable, by unlinking your Discord account or requesting account deletion by contacting us.

10.2 Termination by Us

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease.

10.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without giving effect to any choice or conflict of law provision or rule.

11.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve any dispute informally. Most disputes can be resolved quickly and amicably through direct communication.

11.3 Binding Arbitration

If we cannot resolve a dispute informally, you and Prozilli Entertainment agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for any alleged infringement or misappropriation of intellectual property rights.

11.4 Class Action Waiver

YOU AND PROZILLI ENTERTAINMENT AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT NEITHER YOU NOR PROZILLI ENTERTAINMENT WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU OR PROZILLI ENTERTAINMENT ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Prozilli Entertainment regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, and the remaining provisions shall continue in full force and effect.

12.3 Waiver

No waiver by Prozilli Entertainment of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Prozilli Entertainment to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
